These Terms of Use ("Terms") are a binding agreement between you and Becomes tech, LLC ("Becomes," "BCMS," "we," "us," or "our") governing your access to and use of BCMS Cloud, thebcms.com, app.thebcms.com, related APIs, documentation, starter materials, agent skills, and other products or websites we operate (collectively, the "Services").

By creating an account, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

1. Who we are

The Services are provided by Becomes tech, LLC, a Delaware limited liability company.

"BCMS" is the product name for our headless content management platform. These Terms cover BCMS Cloud and our marketing site. Public npm packages, SDKs, CLI tools, and agent skills we publish may also be subject to their own license files or package terms. If those package licenses conflict with these Terms for the package itself, the package license controls for that package only.

2. Eligibility and accounts

You must be at least 16 years old, or the age of digital consent in your country if higher, to use the Services. The Services are intended for business and professional use.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

You are responsible for your account credentials, OAuth-linked identities (such as Google or GitHub), and all activity under your account. Keep your login information confidential and notify us promptly of unauthorized use.

Provide accurate registration information and keep it up to date. We may suspend or terminate accounts that are inaccurate, abusive, unpaid, inactive after trial expiry, or otherwise in violation of these Terms.

3. The Services

BCMS Cloud is a hosted headless CMS that lets you create, manage, and deliver content, invite collaborators, use APIs and webhooks, store media, and use related features such as MCP tooling and agent-oriented workflows where available.

We may change, add, or remove features. We do not guarantee uninterrupted availability, error-free operation, or that the Services will meet every requirement. Scheduled or emergency maintenance may occur with or without advance notice.

Third-party services you connect (hosting, frameworks, OAuth providers, agents, payment methods, analytics, or other tools) are governed by those providers’ terms. We are not responsible for third-party services you choose to use with BCMS.

4. Acceptable use

You agree not to:

  • Use the Services for unlawful, harmful, fraudulent, or abusive purposes
  • Upload or distribute malware, or attempt to disrupt, probe, or overload our systems
  • Infringe intellectual property, privacy, or other rights of others
  • Scrape, crawl, or harvest the Services in a way that burdens or abuses them, except through our documented APIs within rate limits
  • Reverse engineer the Services except to the limited extent permitted by law
  • Resell, sublicense, or provide the Services to third parties as your own product without our written permission
  • Circumvent plan limits, security controls, or billing mechanisms
  • Use the Services to process special-category personal data or regulated data (such as HIPAA PHI) unless we have expressly agreed in writing

We may remove content, suspend access, or terminate accounts that violate this section.

5. Your content and customer data

You retain ownership of content, data, media, and materials you submit to the Services ("Customer Content"). We do not claim ownership of Customer Content.

You grant Becomes a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, support, and improve the Services, and to comply with law. This license ends when Customer Content is deleted from our active systems, except for residual copies in backups for a limited period and aggregated or de-identified data that cannot reasonably identify you.

You are responsible for Customer Content, including having the rights and consents needed to use it with the Services. You should export data you need before canceling a plan, deleting a project, or deleting your account.

6. Our intellectual property

The Services, including software, branding, documentation, and UI, are owned by Becomes or its licensors. Subject to these Terms and your paid or trial plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes.

Feedback you send us may be used by Becomes without restriction or compensation.

7. Trials, plans, billing, and taxes

New BCMS Cloud projects may start with a free trial (currently 14 days, no credit card required, unless we state otherwise at signup). When a trial ends, you must choose a paid plan to continue, or the project may become inaccessible and later deleted.

Paid plans (such as Hobby and Pro) are billed through Stripe on a monthly or yearly basis, as selected at checkout. Prices, included seats, storage, and other limits are described on our pricing page and may change for future billing periods. Additional seats and other usage may be charged on a prorated basis.

Subscriptions renew automatically until canceled. You authorize us and Stripe to charge your payment method for recurring fees, taxes, and applicable add-ons. You are responsible for applicable taxes unless we collect them at checkout.

Failed payments may result in suspension, reduced access, or cancellation. You can manage payment methods and invoices through the Stripe customer portal linked in your project billing settings where available.

Our Refund Policy explains how refund requests work. Cancellation stops future charges according to Stripe and product behavior. It does not by itself create a refund unless we approve a refund request under that policy.

8. Cancellation, deletion, and termination

You may cancel a paid plan through the product billing controls or by contacting legal@thebcms.com. After cancellation, access may continue until the end of the then-current period, or may end sooner if the product or Stripe indicates immediate cancellation. Canceled projects may later be deleted after a grace period shown in the product.

You may delete your account in account settings, subject to email confirmation. Deleting your account deletes projects you own, removes you from shared projects, and may delete related support conversations we control. Export what you need first.

We may suspend or terminate access immediately for violation of these Terms, non-payment, legal risk, security risk, or extended inactivity after trial expiry. Provisions that by nature should survive (including ownership, payment obligations accrued, disclaimers, liability limits, indemnity, and dispute terms) survive termination.

9. AI and automated features

Some features may involve AI agents, MCP tools, prompts, or automated outputs. Outputs can be wrong or incomplete. You are responsible for reviewing results before publishing or relying on them. AI features do not provide legal, financial, medical, or other professional advice.

10. Privacy

How we handle personal data is described in our Privacy Policy and GDPR page. By using the Services, you acknowledge those disclosures.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BECOMES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT OR OUTPUTS WILL BE ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BECOMES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BECOMES FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the fullest extent permitted by law. Nothing in these Terms limits rights that cannot be waived under applicable consumer protection law.

13. Indemnification

You will defend and indemnify Becomes and its officers, directors, employees, and agents against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Services, or your violation of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Subject to mandatory consumer protections that cannot be waived, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of these Terms or the Services, and you consent to personal jurisdiction there.

Before filing a claim, please contact legal@thebcms.com and attempt to resolve the dispute informally for at least 30 days.

15. Changes

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we will provide additional notice when reasonably practicable (for example, email or in-product notice). Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires a different method.

16. Miscellaneous

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Becomes regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
